1. Introduction

Welcome to Schedu!

These Terms and Conditions ("Terms") govern your access to and use of the Schedu platform, operated by Gyzer Technologies Ltd. ("Schedu", "we", "us", or "our"). By accessing or using Schedu’s services—including our scheduling tools, event creation features, payment processing functionality, and AI-powered content generation tools (collectively, the “Services”)—you agree to be bound by these Terms.

If you do not agree to these Terms, including our Privacy Policy and any additional terms referenced herein, please do not access or use the Services.

You must be at least 18 years old to use Schedu. If you are using Schedu on behalf of an organisation or company, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" will refer to the entity.

We may update these Terms periodically. If we make material changes, we’ll notify you via the Services or by other reasonable means. Your continued use of the Services after such updates constitutes your acceptance of the changes.

2. Definitions

“Account” means a registered user profile on Schedu, whether under a free or paid plan.

“AI Features” means functionalities powered by artificial intelligence offered within the Services, including generation of meeting names, event descriptions, or similar outputs.

“Applicable Laws” means all local, national, and international laws, regulations, directives, and governmental requirements that apply to your use of the Services, including but not limited to data protection, consumer protection, taxation, and export control laws.

“Authorised User” refers to a person authorised to use the Services under an organisational or team account, including employees, contractors, or affiliates.

“Confidential Information” means all non-public, proprietary, or sensitive information, in any form, disclosed by one party to the other, which a reasonable person would consider confidential based on the nature of the information or the circumstances of disclosure.

“Content” means any text, data, images, videos, links, audio, or other materials submitted, posted, uploaded, or otherwise made available by a User through the Services.

“Customer”, “User”, or “You” refers to any individual or entity that accesses or uses the Services.

“Event” means any occasion, appointment, or gathering (online or offline) created and managed through the Services

“Force Majeure” means events outside a party’s reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, embargoes, labour strikes, supply chain failure, power outages, or government restrictions.

“Free Tier” refers to the no-cost version of the Services with limited features and availability.

“Invitee” refers to any third party (client, participant, colleague, etc.) who books, is invited to, or joins a meeting or event created by a User.

“Meeting” means a one-on-one or group session, booked or scheduled via the Services, distinct from an Event

“Organiser” means a User who creates and manages a Meeting or Event using the platform.

“Payment Processor” means any third-party service used by Schedu to handle payment collection and settlement on behalf of Organisers (e.g. Stripe).

“Personal Data” means any information that relates to an identified or identifiable individual, as defined under data protection laws (e.g. GDPR).

“Schedu”, “We”, “Us”, or “Our” refers to Gyzer Technologies Ltd., the legal entity providing the Services.

“Services” means the full range of tools and features provided by Schedu, including scheduling, event creation, calendar integration, AI assistance, in-app reminders, and payment facilitation

“Team Member” refers to an Authorised User added under an organisational account with defined access or permissions

“Third-Party Services” refers to services, applications, tools, or integrations not owned or controlled by Schedu but accessible or used in connection with the Services.

“User Data” means all data submitted, stored, or processed by a User or their Invitees through the Services.

“Visitor” refers to any person who accesses Schedu’s website or app without creating an account or logging in.

3. Eligibility and Account Creation

3.1 Eligibility

To use the Services, you must:

  • Be at least 18 years old (or the legal age of majority in your jurisdiction), and

  • Have the legal authority to enter into a binding agreement (either on your own behalf or on behalf of an entity or organisation you represent).

By registering for an account or accessing the Services, you represent and warrant that you meet these requirements.

If you are using Schedu on behalf of a company, organisation, or other legal entity, you confirm that you have the authority to bind that entity to these Terms. In such cases, “you” and “your” will refer to that entity.

3.2 Account Types

Schedu offers two primary types of accounts:

  • Individual Accounts – for solo use, including free or paid access.

  • Organisational Accounts – for teams and companies, with permissions for managing multiple Team Members and Meetings/Events under one central account.

3.3 Account Registration

To access core features, you must create an account and provide accurate, complete, and up-to-date information during the registration process. This includes:

  • Your name

  • A valid email address

  • Organisation details (if applicable)

You are responsible for:

  • Maintaining the confidentiality of your login credentials,

  • All activities that occur under your account, and

  • Immediately notifying us at support@scheduapp.com if you suspect any unauthorised access or security breach.

3.4 Free Tier & Inactive Accounts

Schedu may offer a Free Tier with limited features. We reserve the right to:

  • Limit usage (e.g. number of active events or meetings),

  • Suspend or permanently delete Free Tier accounts that remain inactive for a continuous period of six (6) months,

  • Prompt you to upgrade to a paid plan to retain access to certain features or data.

We will use reasonable efforts to notify you in advance before any suspension or deletion due to inactivity.

4. Use of the Services

4.1 Licence to Use

Subject to your compliance with these Terms, Schedu grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business or personal purposes.

You may not:

  • Copy, modify, distribute, sell, lease, or sublicense any part of the Services;

  • Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying structure of any part of the Services;

  • Use the Services to build a competing product or service;

  • Circumvent or disable any access control or security measures.

4.2 Service Availability

We aim to ensure Schedu is always available, but we do not guarantee uninterrupted access. From time to time, we may:

  • Perform routine maintenance,

  • Introduce new features or updates,

  • Limit access temporarily due to system overload or security concerns.

Where possible, we will notify you in advance of scheduled downtime.

4.3 Changes to the Services

Schedu may modify, suspend, or discontinue any part of the Services at any time, with or without notice. This includes features, functionalities, or integrations. We are not liable to you or any third party for any such changes.

4.4 Beta Features

We may, from time to time, offer access to beta or experimental features. These may be unstable, incomplete, or subject to change without notice. By using beta features, you understand and accept the risks associated with early-stage technology.

4.5 Responsibility for Use

You are solely responsible for:

  • Your use of the Services, including scheduling, event creation, and communication

  • Ensuring the legality, accuracy, and content of any events, meetings, or descriptions you publish,

  • All activities occurring under your account, including those of any Team Members or Invitees you invite.

Schedu is not responsible for any misuse of your account by unauthorised parties.

5. AI Features Disclaimer

Schedu may include features powered by artificial intelligence (“AI Features”) to assist with content generation—such as naming events, creating meeting descriptions, or suggesting formats.

5.1 Use at Your Own Discretion

AI Features are designed to enhance your experience and productivity, but they are not a substitute for human judgment. Outputs generated by AI may not always be accurate, complete, or appropriate for your intended use.

You are solely responsible for:

  • Reviewing and verifying any AI-generated content before using or publishing it,

  • Ensuring that such content complies with applicable laws and does not infringe on the rights of others,

  • Any decisions or actions taken based on AI outputs.

5.2 No Guarantees

Schedu does not guarantee the quality, accuracy, or suitability of AI-generated content for any specific purpose. Use of AI Features is at your own risk.

We may modify, restrict, or remove AI functionality at any time, without prior notice.

5.3 Do Not Enter Sensitive Data

You must not input, share, or process sensitive information—such as personal health data, financial account numbers, government-issued IDs, or any legally protected data—when using AI Features. AI tools are not designed to securely handle or store such information.

6. Payment Processing and Fees

Schedu facilitates payments between Organisers and their customers (Invitees or attendees) through integrated third-party payment processors such as Stripe.

6.1 Role of Schedu

Schedu acts as a payment facilitator and provides the technical infrastructure for Organisers to accept payments for events, meetings, or services. Schedu does not operate as a bank or licensed financial institution and does not hold funds on your behalf.

All financial transactions are processed by third-party payment providers, and your use of these services is subject to their terms and conditions.

6.2 Fees and Commissions

Schedu may charge:

  • Transaction fees or commissions on paid events and meetings,

  • Platform usage fees based on your subscription plan,

  • Any applicable taxes or surcharges.

Full details of fees are published on our Pricing Page or specified at the time of upgrading or publishing an event. By using paid services, you agree to these charges.

6.3 Payouts to Organisers

If you collect payments using Schedu’s payment integration:

  • Net proceeds (after applicable fees) will be disbursed to your designated account according to the payout schedule of the payment provider.

  • Payouts are processed once per week, typically on Fridays.

Minimum withdrawal threshold applies:

If your account balance does not meet the minimum threshold, funds will roll over to the following payout cycle. Schedu is not responsible for delays, errors, or disputes related to third-party payment providers.

6.4 Currency and Taxes

All prices, charges, and fees must be clearly stated in the applicable currency. You are solely responsible for:

  • Complying with any tax obligations (e.g. VAT, sales tax, withholding),

  • Providing accurate tax information as required by law or the payment processor.

Schedu may withhold funds or request additional documentation to comply with applicable laws.

7. Event and Meeting Responsibilities

As a platform, Schedu enables users to create, publish, promote, and manage meetings and events. However, Schedu is not the organiser, host, or seller of these events.

7.1 Organiser Responsibilities

If you create or host events or meetings through Schedu, you agree that:

  • You are solely responsible for the quality, accuracy, legality, and delivery of your event or meeting.

  • You will ensure all information (titles, descriptions, dates, times, locations, etc.) is clear, accurate, and not misleading.

  • You are responsible for complying with all relevant laws, permits, regulations, and third-party rights related to your event or services.

  • You are responsible for providing customer service, support, and communication to your Invitees or attendees.

Schedu does not vet, verify, or endorse any particular event or organiser and is not liable for any content you publish or outcomes of your event.

7.2 Invitee & Attendee Experience

If you use Schedu to invite participants to meetings or sell tickets to events:

  • You are responsible for ensuring Invitees receive accurate event details, access instructions, and any post-event follow-up or deliverables.

  • You may not collect or use Invitee data beyond the purpose of facilitating the meeting or event unless consent has been clearly obtained.

  • You are responsible for resolving any disputes, cancellations, or dissatisfaction related to your event.

7.3 Accessibility and Safety

You agree to:

  • Make reasonable efforts to ensure your events are accessible and safe for participants (particularly for physical or in-person events).

  • Clearly state any attendance requirements, age restrictions, or risks associated with participation.

Schedu assumes no responsibility for incidents, accidents, or liabilities that occur during or as a result of an event or meeting hosted by a User.

7.4 Misuse and Platform Abuse

Schedu reserves the right to suspend or remove events, meetings, or accounts that:

  • Violate these Terms or any Acceptable Use standards,

  • Promote illegal, fraudulent, harmful, or misleading activities,

  • Generate repeated complaints or refund disputes,

  • Pose a reputational or operational risk to the platform.

8. User Content and Data

Schedu allows Users to submit, share, and store content and personal information through the platform in connection with meetings and events.

8.1 Ownership of Content

As a User, you retain all rights to the content you upload or submit to the platform (“User Content”), including:

  • Event names and descriptions,

  • Profile information,

  • Media files (e.g. images, banners, videos),

  • Messages or custom instructions.

By submitting User Content, you grant Schedu a worldwide, non-exclusive, royalty-free, limited licence to use, store, host, display, reproduce, and distribute your content solely for the purpose of operating and improving the Services

8.2 Data Responsibility

You are responsible for:

  • Ensuring that your User Content does not infringe on intellectual property, privacy, or other legal rights of others,

  • Securing consent where required (e.g. when uploading Invitee data or participant details),

  • Complying with applicable data protection laws, including GDPR or local equivalents, when processing personal data.

Schedu may remove or disable access to any content that violates these Terms or applicable law, with or without notice.

8.3 Use of User Data

User Data (such as email addresses, booking records, or event participation) may be used by Schedu to:

  • Provide and personalise the Services,

  • Improve platform performance and user experience,

  • Monitor and prevent abuse, fraud, or misuse,

  • Comply with legal obligations.

Schedu processes personal data in accordance with its Privacy Policy. By using the Services, you consent to such processing.

8.4 Platform Usage Data

Schedu may collect anonymised, aggregated data about how the Services are used (“Usage Data”). This data does not identify individual Users and may be used for:

  • Analytics and reporting,

  • Service improvement,

  • Research and development.

Usage Data is the property of Schedu and may be shared with third parties in anonymised form.

9. Acceptable Use

To maintain a secure, respectful, and reliable platform, all Users must use Schedu in accordance with these Acceptable Use standards.

9.1 Prohibited Activities

You agree not to, and will not permit others to, use the Services to:

  • Violate any applicable laws or regulations

  • Create or promote fraudulent, misleading, or deceptive content

  • Distribute spam, unsolicited messages, or unauthorised advertising;

  • Upload, post, or share content that is obscene, hateful, abusive, defamatory, discriminatory, or harassing;

  • Exploit, abuse, or harm minors or vulnerable individuals;

  • Impersonate another person or misrepresent your affiliation;

  • Interfere with or disrupt the integrity or performance of the Services;

  • Circumvent or attempt to bypass any security features, access restrictions, or authentication measures;

  • Upload viruses, malware, or other harmful code;

  • Sell or attempt to sell unauthorised or illegal products, services, or access;

  • Use bots, scrapers, or other automated tools to collect or misuse data.

9.2 Event and Meeting Standard

You may not use Schedu to host, promote, or facilitate:

  • Activities that are violent, dangerous, or incite harm

  • Hate speech, extremist gatherings, or discriminatory events

  • Events requiring licences or permits that you do not hold;

  • Any activity that infringes on the rights of others or violates third-party terms (e.g. venue, platform, or ticketing rules).

9.3 Enforcement

Schedu may monitor activity on the platform for compliance purposes and reserves the right to:

  • Remove or disable content that violates this policy

  • Suspend or terminate accounts involved in prohibited conduct

  • Report violations to law enforcement or regulatory authorities where required.

Repeated or serious violations may result in permanent bans from the platform.

9.4 Reporting Violations

If you encounter content or behaviour on Schedu that you believe violates these Terms or is otherwise inappropriate, you may report it to us by contacting support@scheduapp.com or using any in-app reporting tools where available.

We review all reports and may take appropriate action, including content removal, user warnings, or account suspension.

10. Termination and Suspension

Schedu reserves the right to suspend or terminate access to the Services at its sole discretion, especially when Terms are violated or continued use poses legal, operational, or reputational risks.

10.1 By Schedu

We may suspend, limit, or terminate your access to all or part of the Services without prior notice if:

  • You violate these Terms or any applicable law

  • You engage in fraudulent, abusive, or harmful activity;

  • Your use places excessive burden on our systems or impacts other users;

  • Required by law or regulatory authority.

We will make reasonable efforts to notify you unless doing so would violate legal obligations or jeopardise investigations.

10.2 By You

You may terminate your account at any time by:

  • Using the account deletion feature in your profile settings, or

  • Contacting support@scheduapp.com.

Upon termination, your access to the Services will end immediately, and we may delete your data in accordance with our Privacy Policy, subject to legal obligations to retain certain records.

10.3 Effect of Termination

Termination of your account may result in:

  • Loss of access to meetings, events, and content,

  • Forfeiture of unwithdrawn funds if your payout details are incomplete or unverified,

  • Deletion of User Content, unless retained for compliance or audit purposes.

Sections that by their nature should survive termination—such as those on payment obligations, disclaimers, liability, indemnity, and dispute resolution—will continue to apply.

11. Intellectual Property

This section outlines ownership of intellectual property and how Schedu’s content and tools may (and may not) be used.

11.1 Schedu Ownership

All content, trademarks, logos, source code, design elements, features, and intellectual property associated with the Schedu platform (excluding User Content) are the exclusive property of Gyzer Technologies Ltd. or its licensors. This includes, but is not limited to:

  • Branding and visual assets,

  • Software and source code,

  • Platform architecture and databases,

  • AI models and outputs,

  • Documentation and help materials.

These materials are protected under applicable copyright, trademark, and other intellectual property laws.

11.2 Licence Restrictions

You may not:

  • Copy, reproduce, distribute, modify, or create derivative works of Schedu’s materials,

  • Use Schedu’s trademarks or branding without express written permission,

  • Reverse engineer or attempt to extract the source code,

  • Remove, obscure, or alter any proprietary notices.

Use of the platform does not grant you ownership or intellectual property rights in the Services or their content, beyond the limited licence provided under Section 4.

11.3 Feedback and Suggestions

If you provide Schedu with ideas, suggestions, feedback, or recommendations about the platform ("Feedback"), you agree that:

  • We may use it without restriction or obligation to compensate you,

  • You waive any rights to ownership or control of that Feedback,

  • It becomes part of Schedu’s intellectual property.

12. Free & Paid Plans

Schedu offers both free and paid plans to accommodate different user needs. This section outlines how subscriptions work, billing terms, and account limitations.

12.1 Free Tier

Schedu may offer a Free Tier account with limited access to features, such as:

  • A restricted number of meetings or events,

  • Limited access to AI features or integrations,

  • No custom branding or team collaboration tools.

Schedu reserves the right to modify or discontinue the Free Tier at any time. Inactive Free Tier accounts may be suspended or deleted after six (6) months of continuous inactivity, as described in Section 3.4.

12.2 Paid Plans

Paid subscriptions provide enhanced access to features, which may include:

  • Unlimited or increased meeting/event quotas,

  • Custom branding and themes,

  • AI content generation,

  • Priority support,

  • Payment processing and financial tools,

  • Team management capabilities.

12.3 Billing and Renewal

  • Paid plans are billed in advance on a recurring basis (monthly or annually), unless otherwise specified.

  • Your subscription will automatically renew at the end of each billing cycle unless cancelled beforehand.

  • You authorise Schedu (via its payment processor) to charge your provided payment method for recurring fees and applicable taxes.

12.4 Paid Plans

You may cancel or downgrade your subscription at any time via your account settings. Changes will take effect at the end of your current billing cycle, and no prorated refunds will be issued for unused time, except where required by law.

Downgrading from a paid plan to the Free Tier may result in loss of features or data beyond Free Tier limits.

12.5 Failed Payments

If your payment fails or your billing method is declined:

  • We may retry your payment method multiple times,

  • You may lose access to paid features or account functionality,

  • Your account may be suspended or downgraded to the Free Tier until payment is resolved.

You are responsible for keeping your billing information accurate and up to date.

12.6 Team Plan Billing

  • If you subscribe to a paid plan under a Team Account type with annual billing, the total annual subscription fee at the time of purchase will be calculated based on the number of team members (or "seats") associated with your account at that time.

  • If additional team members or seats are added after the initial subscription payment, Schedu will charge your payment method for each new seat on a prorated basis, calculated according to the number of days remaining in your current annual billing cycle.

  • At the start of your next annual billing cycle, your invoice will include the full annual subscription amount for all team members/seats, including those previously added mid-cycle. You are responsible for managing your team seats before renewal to avoid unexpected charges.

Schedu reserves the right to immediately suspend or limit account access for any unpaid seats, and you agree to maintain accurate team member and billing information at all times.

13. Third-Party Services

Schedu integrates with various third-party platforms and tools to enhance functionality, such as calendar systems, video conferencing platforms, payment providers, and analytics tools.

13.1 Integrations and APIs

Schedu may offer integrations with third-party services (e.g. Zoom, Google Calendar, Microsoft Teams, Stripe). When you enable these integrations, you:

  • Authorise Schedu to access and interact with your third-party accounts as necessary to provide the integration,

  • Agree to abide by the terms and policies of the third-party service,

  • Acknowledge that Schedu is not responsible for the availability, accuracy, or performance of third-party services.

We may modify, limit, or discontinue integrations at any time without liability.

13.2 Responsibility and Risk

Your use of any third-party service is entirely at your own risk. Schedu:

  • Does not guarantee the compatibility or security of third-party tools,

  • Is not liable for data loss, service outages, or harm resulting from third-party use,

  • Disclaims any warranties related to services not directly operated by Schedu.

13.3 Embedded or White-Labelled Use

If you embed Schedu functionality in your own platform (e.g. via iframe, widget, or API), or use it in a white-labelled configuration:

  • You are responsible for your users’ experience and compliance with these Terms,

  • You must not misrepresent the nature of the Services or imply Schedu is your proprietary technology,

  • Additional terms or branding conditions may apply for white-labelling.

Schedu reserves the right to review or revoke embedded or white-labelled use at its discretion

14. Compliance with Sanctions and Export Laws

Schedu complies with all applicable export control and economic sanctions laws, including those imposed by the United Kingdom, United States, European Union, and other jurisdictions where we operate.

14.1 Restricted Use

By using the Services, you represent and warrant that:

  • You are not located in, ordinarily resident in, or otherwise associated with any country or region subject to comprehensive economic sanctions (e.g. Iran, North Korea, Syria, Cuba, or the Crimea, Donetsk, or Luhansk regions of Ukraine),

  • You are not listed on any government-issued list of prohibited or restricted parties (e.g. the U.S. Treasury Department’s Specially Designated Nationals List or the UK’s Consolidated Sanctions List),

  • You will not use the Services to conduct business with or on behalf of any such restricted parties or in connection with restricted territories.

14.2 Export Compliance

You agree not to export, re-export, or otherwise transfer any part of the Services to any jurisdiction or entity in violation of applicable export laws, including:

  • U.S. Export Administration Regulations (EAR),

  • UK Export Control Act,

  • EU dual-use regulations.

This includes, without limitation, avoiding unauthorised transfer of software, data, or AI-generated content where such transfer is restricted.

14.3 Violation Consequences

Schedu may immediately suspend or terminate your access to the Services without notice if we reasonably believe you are in breach of this section or if required by applicable law, regulation, or court order.

15. Disclaimer of Warranties

Schedu aims to deliver reliable and high-quality services, but certain limitations and disclaimers apply.

15.1 Services Provided “As Is”

The Services are provided on an “as is” and “as available” basis, without warranties of any kind—express, implied, or statutory. To the fullest extent permitted by law, Schedu disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement,

  • Warranties that the Services will be error-free, uninterrupted, or secure,

  • Warranties that AI-generated or user-generated content will be accurate, complete, or reliable.

You use the Services at your own risk.

15.2 Third-Party Content and Tools

Schedu does not warrant the quality, legality, or reliability of:

  • Events or meetings created by Users,

  • Third-party integrations or content,

  • AI-generated suggestions or data from external sources.

We are not responsible for errors, omissions, or failures of performance caused by third-party platforms, internet issues, or your own device or software.

15.3 Jurisdiction Limitations

Some jurisdictions do not allow disclaimers of certain warranties. In those regions, Schedu’s liability and obligations will be limited to the extent permitted by law.

16. Limitation of Liability

To operate efficiently and fairly, Schedu limits its financial liability to users in accordance with industry norms and legal requirements.

16.1 General Limitation

To the maximum extent permitted by law, Schedu and its affiliates, officers, directors, employees, agents, licensors, and service providers will not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages,

  • Loss of profits, revenue, business, goodwill, data, or opportunity,

  • Personal injury or property damage,

  • Downtime, service interruption, or platform unavailability,

  • Losses arising from unauthorised access or use of your account.

This applies whether the claim is based on contract, tort, negligence, strict liability, or otherwise—even if we have been advised of the possibility of such damages.

16.2 Maximum Liability Cap

Unless otherwise required by law, Schedu’s total aggregate liability to you for all claims arising out of or related to your use of the Services will not exceed:

  • The total fees paid by you to Schedu in the three (3) months prior to the event giving rise to the claim, or

  • £100 GBP / $100 USD / ₦100,000 NGN, whichever is lower.

16.3 Exclusions

Nothing in these Terms limits or excludes liability for:

  • Death or personal injury caused by gross negligence,

  • Fraud or fraudulent misrepresentation,

  • Any other liability that cannot be limited or excluded under applicable law.

17. Indemnity

You agree to take responsibility if your actions cause Schedu legal or financial harm.

17.1 Your Indemnification Obligations

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Schedu (Gyzer Technologies Ltd.), its directors, officers, employees, affiliates, agents, licensors, and service providers from and against any and all:

  • Claims,

  • Liabilities,

  • Damages,

  • Losses,

  • Costs and expenses (including reasonable legal fees)

arising out of or related to:

  • Your use or misuse of the Services,

  • Your content, events, or meetings created or hosted through Schedu,

  • Your violation of these Terms or any applicable law,

  • Any third-party claim that your content or conduct infringes intellectual property or other rights,

  • Disputes between you and Invitees, attendees, clients, or third parties.

17.2 Conditions of Indemnity

Schedu will:

  • Promptly notify you of any claim covered by this indemnity,

  • Allow you to control the defence and settlement (with our prior written consent for settlements),

  • Cooperate with you at your expense in defending the claim.

We reserve the right to assume exclusive defence of any claim you are indemnifying us against, in which case you agree to cooperate fully.

18. Dispute Resolution and Governing Law

18.1 Initial Resolution

If you have any dispute, concern, or complaint, we encourage you to first contact us at support@scheduapp.com. We aim to resolve most issues quickly and informally.

18.2 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law rules.

You and Schedu agree that the courts of London, United Kingdom shall have exclusive jurisdiction over any legal action or proceeding arising out of or related to these Terms or the Services, except where mandatory local laws require otherwise.

18.3 Binding Arbitration (Optional for Certain Users)

If you reside outside the United Kingdom, you and Schedu agree that any dispute, controversy, or claim arising out of or in connection with these Terms or the Services will be resolved through binding arbitration, rather than in court.

  • The arbitration will be administered by a recognised arbitration body (e.g. LCIA or ICDR), in accordance with its applicable rules.

  • The language of arbitration will be English.

  • The place of arbitration will be London, UK, unless another location is mutually agreed.

  • The arbitrator’s decision will be final and binding, and may be entered into any court with jurisdiction.

Class or collective actions are not permitted. You and Schedu agree to bring disputes only on an individual basis.

18.4 Exceptions

Nothing in this section prevents either party from:

  • Seeking injunctive or equitable relief in court (e.g. to protect intellectual property or prevent unauthorised use),

  • Filing a claim in small claims court where applicable,

  • Enforcing a judgment or arbitration award in any competent court.

18.5 Statutory Rights

This dispute resolution clause does not override consumer rights you may have under the laws of your country of residence where such rights are mandatory and cannot be waived by contract.

19. Changes to These Terms and Contact

19.1 Updates to Terms

Schedu may modify these Terms from time to time to reflect changes in:

  • Legal or regulatory requirements,

  • Features or Services we offer,

  • Business practices or operations.

We will provide notice of material changes by:

  • Posting the updated Terms on our website,

  • Notifying registered users via email or in-app alert, where applicable.

Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and may delete your account at any time.
